Article 1 – Scope and Acceptance

These General Terms and Conditions of Sale (GTC) apply to all supply, installation, commissioning, maintenance and repair services in plumbing, electrical and air conditioning carried out by MS Services 24/7 (the Provider). Signing a quote/order constitutes unreserved acceptance of these GTC and the specific conditions of the quote.

Article 2 – Offers and Validity

Offers are valid for 30 days unless otherwise stated. Any change in requirements/constraints (access, power supply, permits) may result in a price/timeline amendment.

Article 3 – Prices, VAT and Revision

Prices are in EUR excluding VAT; VAT is applicable according to Luxembourg law at the date of invoicing. As supplier and material costs may change, an updated quote may be submitted to the Client for approval.

Article 4 – Payment and Penalties

Deposit on order: 50%. Balance: payment on receipt (no discount). Payment by bank transfer (IBAN at the bottom of this page). Late payment interest: ECB rate + 10 points; fixed compensation of EUR 40 for recovery costs. The Provider may suspend services in case of non-payment.

Article 5 – Planning, Access and Postponement

Deadlines are indicative. The Client guarantees access, power and an unloading/safety zone. Any postponement attributable to the Client (site not ready, access/power unavailable) may incur downtime, rescheduling and storage charges.

Article 6 – Delivery and Transfer of Risk

Risk on equipment is transferred upon delivery/reception on site. Packaging is not taken back, unless otherwise agreed.

Article 7 – Acceptance

Acceptance upon completion/commissioning. Written reservations within 8 days; otherwise, acceptance without reservation.

Article 8 – Warranties

Equipment: manufacturer's warranty per manufacturer's conditions. MS Services 24/7 labour warranty per quote/contract. Equipment warranty: 24 months. Exclusions: abnormal use, lack of maintenance, third-party intervention, power surge, disaster, unauthorised modifications.

Article 9 – F-Gas and Environment

Refrigeration work carried out by qualified personnel (Personal Certificate Cat. I – No. 3070). Compliance with Regulation (EU) 517/2014. Intervention register kept for 5 years; fluids and waste treated according to regulations.

Article 10 – Liability and Insurance

Liability limited to the net amount of the order for proven direct damages. Indirect/intangible damages excluded. Professional liability insurance subscribed.

Article 11 – Retention of Title

Goods remain the property of the Provider until full payment.

Article 12 – Data (GDPR)

Data controller: MS Services 24/7. Data is used for contract performance and legal obligations. GDPR rights via: info@msservices.lu

Article 13 – Force Majeure

Unforeseeable and irresistible events (severe weather, supply disruptions, strikes, network failures, etc.) suspend obligations. If suspension exceeds 3 months, termination is possible without compensation.

Article 14 – Applicable Law and Jurisdiction

Luxembourg law. Competent courts: Grand Duchy of Luxembourg (Luxembourg City).
